Malabar Lab Solutions ("we", "us", "our") provides laboratory equipment, diagnostic devices, consumables, and related services to healthcare facilities, PHCs, corporate wellness programs, and individual customers throughout Kerala. These Terms of Service govern all purchases, rentals, service contracts, and use of our products

1. Acceptance of Terms

By placing an order, using our products, or accessing our services, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws. If purchasing on behalf of an institution, you represent that you have authority to bind that entity.

2. Products and Services

2.1 Laboratory Equipment

• Diagnostic analyzers (TOSOH CLIA, HbA1c, creatinine meters)
• Glucometers, BP monitors, surgical implants, power tools
• PCR instruments, automated extraction systems
• Molecular diagnostics kits and consumables

2.2 Consumables and Kits

• Test strips, cartridges, extraction kits, PCR master mixes
• Optical plates, seals, pipette tips
• Implant components, surgical blades, drill bits

2.3 Services

• Installation, calibration, and staff training
• Preventive maintenance and emergency repairs
• Annual maintenance contracts (AMC)
• Software updates and LIS integration

3. Orders and Pricing

3.1 Order Confirmation

All orders require written confirmation via email or our online portal. Prices are valid for 30 days unless otherwise stated.

3.2 Payment Terms

• Government tenders: 100% post-delivery (45 days)
• Private: 50% advance, 50% post-installation
• Corporate: Net 30 days
• Individuals: Full payment upfront

4. Delivery and Installation

4.1 Delivery Timeline

• Kozhikode/Wayanad: 7-10 working days
• Thrissur/Malappuram: 10-14 working days
• Kasaragod: 14-21 working days

4.2 Installation and Training

• Free installation for equipment >₹5L
• 4-hour technician training (2 staff max)
• User manual in English/Malayalam
• 90-day remote support

5. Warranty and Service: As per the manufacturer.

6. Returns and Refunds

6.1 Equipment Returns

• 14-day inspection period for new equipment
• Must be unused, in original packaging
• 10% restocking fee applies
• Shipping arranged by customer

6.2 Consumables

• No returns on opened kits/strips
• DOA replacement within 7 days
• Full refund for manufacturing defects

7. Liability and Limitations

7.1 Product Liability

We warrant products against manufacturing defects but disclaim liability for:

• Misuse or improper calibration
• Non-compliance with maintenance schedules
• Third-party modifications
• Clinical decision errors

7.2 Service Limitations

• Emergency service: 4-hour response (Kozhikode), 24-hour (others)
• Consumable stock not guaranteed during supply chain disruptions
• Force majeure: Natural disasters, government restrictions

8. Intellectual Property

All software, LIS integration modules, training materials, and technical documentation remain our property. Customers receive a limited license for internal use only.

9. Termination

We may terminate service for:

• Non-payment (>90 days overdue)
• Misuse violating safety regulations
• Fraudulent activity
• End of product lifecycle

10. Governing Law and Dispute Resolution

Governing Law: Laws of Kerala, India

Dispute Resolution:

• Negotiation (30 days)
• Mediation (Kozhikode Arbitration Centre)
• Arbitration (single arbitrator, Kozhikode)

Jurisdiction: Kozhikode District Courts

11. Force Majeure

Neither party is liable for delays due to acts of God, government restrictions, supply chain disruptions, pandemics, or other events beyond reasonable control.

12. Amendments

We may update these terms with 30 days notice. Continued use constitutes acceptance.
